Membership<\/div><\/a><\/h4><\/div><div id=\"collapse-1-6703\" class=\"panel-collapse collapse\"><div class=\"panel-body toggle-content post-content\"><p>2. The Bellevue and Stadelhofen Association is open to all individuals and businesses that are active in the Zurich city district of Bellevue and Stadelhofen or the surrounding area, have their registered office or place of residence there, or are owners of property there.<\/p>\n<p><strong>2.1. Admission<\/strong><br \/>\nAdmission to the Association requires written application to the Administrative Board and is decided by resolution of the Administrative Board. Admission may be refused without stating a reason. By applying to become a member, applicants agree to abide by the Statutes.<\/p>\n<p><strong>2.2. Resignation<\/strong><br \/>\nMembers may resign with effect at the end of a calendar year by notifying the Administrative Board in writing by the end of July.<\/p>\n<p><strong>2.3. Expulsion<\/strong><br \/>\nThe Administrative Board shall decide on the expulsion of a member. The expelled member may contest the expulsion in writing within 30 days, whereon the final decision shall be taken by the General Assembly.<\/p>\n<p><strong>3. Contributions<\/strong><br \/>\nThe annual membership fee is:<br \/>\nCHF 300.00 for shops, businesses, etc.<br \/>\nCHF 1,000.00 for property owners, larger companies, etc.<br \/>\nThe membership fee is due for payment within 30 days of receipt of invoice.<\/p>\n<\/div><\/div><\/div><div class=\"fusion-panel fusion-toggle-no-divider fusion-toggle-boxed-mode panel-default fusion-faq-post fusion-faq-post-6705 \"><span class=\"entry-title rich-snippet-hidden\">III. Organisation<\/div><\/a><\/h4><\/div><div id=\"collapse-1-6705\" class=\"panel-collapse collapse\"><div class=\"panel-body toggle-content post-content\"><p><strong>4. Organs of the Association are:<\/strong><\/p>\n<ul>\n<li>the General Assembly<\/li>\n<li>the Administrative Board<\/li>\n<li>the Auditors<\/li>\n<\/ul>\n<p><strong>5. The General Assembly<\/strong><br \/>\nThe General Assembly is the governing body of the Association.<br \/>\nThe ordinary General Assembly shall be held annually in the first quarter. <\/p>\n<p>The invitation by the Administrative Board shall be issued at least 10 days before the date of the General Assembly along with the agenda.<\/p>\n<p><strong>Extraordinary General Assembly:<\/strong><br \/>\nExtraordinary meetings of the Association shall be convened by resolution of the Administrative Board or when one fifth of the membership request such a meeting.<\/p>\n<p><strong>5.1. Chair and minutes<\/strong><br \/>\nChair of the General Meeting shall be the President of the Association, or the Vice President if the President is unable to attend. Minutes shall be kept of the proceedings.<\/p>\n<p><strong>5.2. Participation and voting rights<\/strong><br \/>\nEach member of the Association shall be entitled to participate in the General Assembly and shall have one vote.<\/p>\n<p><strong>5.3. Resolutions<\/strong><br \/>\nThe General Assembly shall pass its resolutions by a simple majority of the votes cast. For elections, an absolute majority shall apply, whereby blank and invalid votes shall not count for the calculation of an absolute majority. The President may also vote. In the event of a tie, the President shall have a casting vote, whereas tied elections are decided by drawing lots.<\/p>\n<p><strong>5.4. Powers<\/strong><br \/>\nThe General Assembly shall have the following powers:<\/p>\n<ul>\n<li>Elect the Administrative Board and the Auditors for a term of two years;<\/li>\n<li>Approve the report of activities, the annual accounts and the budget;<\/li>\n<li>Set the membership fees;<\/li>\n<li>Issue regulations;<\/li>\n<li>Modify the Statutes and dissolve the Association. Dissolution shall require a two-thirds  majority of the members present.<\/li>\n<\/ul>\n<p><strong>6. Administrative Board<\/strong><br \/>\nComposition and organisation:<br \/>\nThe Administrative Board shall consist of 5 to 12 members who are elected by the General Assembly for a term of two years. It is the executive body of the Association, represents it internally and externally and manages the finances. The President shall be elected by the General Assembly, but the Administrative Board shall otherwise determine its own composition. It shall designate one member as Treasurer, who shall also act as Vice President. A member of the Administrative Board shall be entrusted with the management of the Association, who shall be proposed by the Administrative Board and elected at the General Assembly.<\/p>\n<p><strong>7. Office Management<\/strong><br \/>\nManagement of the office shall be entrusted to a qualified person who shall operate his office in the catchment area of the Association.<br \/>\nThe registered office of the Association is at the address of this office.<\/p>\n<p><strong>8. Auditors<\/strong><br \/>\nThe General Assembly shall elect two auditors for a period of two years. They shall examine the bookkeeping and cash management and submit a written report to the General Assembly.<\/p>\n<p><strong>9. Remuneration<\/strong><br \/>\nThe Office Manager and Treasurer are compensated for their activities. The other members of the Administrative Board work on an honorary basis.<\/p>\n<\/div><\/div><\/div><div class=\"fusion-panel fusion-toggle-no-divider fusion-toggle-boxed-mode panel-default fusion-faq-post fusion-faq-post-6707 \"><span class=\"entry-title rich-snippet-hidden\">IV. The financial resources of the Association consist of:<\/strong><\/p>\n<ul>\n<li>Annual fees paid by members<\/li>\n<li>Income from the Association&#39;s assets<\/li>\n<li>Third-party donations<\/li>\n<\/ul>\n<p>Only the financial resources of the Association are liable for settling the obligations of the Association.<\/p>\n<p><strong>11. Annual accounts<\/strong><br \/>\nThe accounts are closed on 31 December of each year.<\/p>\n<\/div><\/div><\/div><div class=\"fusion-panel fusion-toggle-no-divider fusion-toggle-boxed-mode panel-default fusion-faq-post fusion-faq-post-6709 \"><span class=\"entry-title rich-snippet-hidden\">V. Notices to members of the Association shall be made in writing (letter, fax, email).<\/strong><\/p>\n<\/div><\/div><\/div><div class=\"fusion-panel fusion-toggle-no-divider fusion-toggle-boxed-mode panel-default fusion-faq-post fusion-faq-post-6711 \"><span class=\"entry-title rich-snippet-hidden\">VI. Dissolution<\/div><\/a><\/h4><\/div><div id=\"collapse-1-6711\" class=\"panel-collapse collapse\"><div class=\"panel-body toggle-content post-content\"><p><strong>13. Dissolving the Association<\/strong><br \/>\nThe Association may be dissolved by a General Assembly expressly convened for this purpose. Dissolution requires the attendance at this General Assembly of at least two thirds of all members and the approval of two thirds of the members present. If the General Assembly fails to meet with a quorum, dissolution may be finally determined at a second General Assembly held at least 30 days later, provided two thirds of those present vote in favour. In the event of a dissolution, the General Assembly shall decide on the use of any available funds. Liquidation shall be carried out by the Administrative Board.<\/p>\n<\/div><\/div><\/div><div class=\"fusion-panel fusion-toggle-no-divider fusion-toggle-boxed-mode panel-default fusion-faq-post fusion-faq-post-6713 \"><span class=\"entry-title rich-snippet-hidden\">VII. These Statutes shall enter into force upon their adoption. They may be amended by a General Assembly attended by at least two thirds of the members and by approval of two thirds of the members present.<\/p>\n<p>The present Statutes of the Association were adopted at the General Meeting of 22 March 2001 and later amended in accordance with a resolution at the General Meeting of 20 June 2005.
